Website and Services Contract

This Agreement - Dream Plan - is entered into 12/24/2025 by and between (Client name from form below), hereinafter referred to as "Client," and Side Studios, with an address of 638 Broughton St, Vancouver, BC V6G 3K3, hereinafter referred to as "Agency."

Purpose:

The Agency agrees to provide web development services to the Client as described and attached here.

Term:

The term of this Agreement shall begin on 12/24/2025 and shall continue until either party gives written notice of termination to the other party.

Compensation:

Client shall pay Agency a setup fee of 470$ and a monthly fee of 997$.

Responsibilities:

A. The Agency shall perform the services described in the meeting professionally and promptly.
B. The Client shall provide the Agency with any information and materials as may be required for the Agency to perform the services.
C. The Client shall be responsible for obtaining and maintaining any equipment and services needed to access and use the services provided by the Agency.

Warranties and Representations:

A. The Agency represents and warrants that it has the necessary skills and experience to perform the services.
B. The Client represents and warrants that it has the right to enter into this Agreement and to use any information provided by the Client to the Agency.

Confidentiality:

A. Each party agrees to hold the confidential information of the other party in the strictest confidence and not to disclose such information to any third party.
B. The obligations of confidentiality shall survive the termination of this Agreement.

Limitation of Liability:

A. Neither party shall be liable for any indirect, incidental, special, or consequential damages arising from this Agreement.

Payment Terms:

A. The Client agrees to pay all amounts due under this Agreement by credit card monthly.
B. Any late payments shall bear interest at the rate of 9%.
C. The Client shall provide the Agency with updated credit card information as needed to ensure uninterrupted payment of all amounts due under this Agreement.
D. The Client shall be entitled to make 1 hour of updates to the website per month, with additional hours charged at $75/hour.
Any updates made by the Client shall be subject to approval by the Agency to ensure they do not compromise the functionality or security of the website. Clients shall provide such updates to the Agency in writing via email.

Entire Agreement:

This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, representations, and agreements between the parties, whether written or oral.
This Agreement may not be amended except in writing signed by both parties.
